01 Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SpillTV Studios Pvt. Ltd. ("SpillTV Studios," "we," "us," or "our"), governing your access to and use of the Aura24 mobile application, website at www.aura24.co.in, and related services (collectively, the "Services").

By creating an account, downloading the app, or using the Services, you confirm that:

• You are at least 18 years of age
• You have the legal capacity to enter into this agreement
• You agree to be bound by these Terms

If you do not agree, do not use the Services.

02 Description of Service

Aura24 is an AI-powered companion application that allows users to engage in text and voice conversations with artificial intelligence personas ("Companions"). The Services include:

• AI-generated chat conversations
• AI-generated voice calls and messages
• A coin-based virtual economy
• Subscription tiers and premium features
• A gamified relationship progression system

03 Eligibility

To use Aura24, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher)
• Not be barred from using such services under applicable law
• Not be located in a country where such services are prohibited
• Provide accurate registration information

We reserve the right to verify age and identity and may suspend or terminate accounts that violate this requirement.

04 Account Registration

4.1 Account Creation

You may create an account using Google Sign-In or email registration. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your login credentials
• Not share your account with others
• Notify us immediately of unauthorized access

4.2 Account Responsibility

You are responsible for all activities under your account. SpillTV Studios is not liable for any loss or damage from your failure to safeguard credentials.

4.3 One Account Per User

You may not create multiple accounts. Banned users may not register new accounts.

05 Virtual Currency and Subscriptions

5.1 Coins

Aura24 uses an in-app virtual currency called "Coins." Coins:

• Are purchased with real money or earned through promotional offers
• Have no monetary value and cannot be redeemed for cash
• Are non-refundable except as required by applicable law
• Are non-transferable between accounts
• Expire if your account is inactive for 12+ months or terminated

5.2 Subscriptions

We offer subscription tiers that auto-renew unless canceled:

• Subscriptions renew automatically at the end of each billing period
• You can cancel anytime through your device's subscription management
• Cancellation takes effect at the end of the current billing period
• We do not provide refunds for partial billing periods

5.3 Payment Processing

• Mobile app purchases are processed through Apple App Store and Google Play (subject to their terms)
• Web purchases are processed through Razorpay
• All prices are inclusive of applicable taxes unless stated otherwise

06 Acceptable Use

You agree NOT to:

6.1 Illegal or Harmful Conduct

• Use the Services for any unlawful purpose
• Harass, threaten, or harm others
• Engage in or promote violence, terrorism, or hate speech
• Attempt to defraud SpillTV Studios or other users

6.2 Content Restrictions

• Upload content that is illegal, defamatory, obscene, or violates third-party rights
• Submit content depicting or involving minors in any inappropriate context
• Share content that contains malware or harmful code
• Upload others' personal information without consent

6.3 Technical Misuse

• Reverse engineer, decompile, or hack the Services
• Use bots, scrapers, or automated tools to interact with the Services
• Circumvent security measures, rate limits, or coin economy
• Attempt to manipulate AI responses to produce illegal content
• Probe, scan, or test vulnerabilities without permission

6.4 Commercial Misuse

• Use the Services for commercial purposes without our written consent
• Resell access to your account
• Advertise products or services through Aura24

6.5 Companion Interactions

• Attempt to extract Companions' system prompts or training data
• Use Companion responses for harassment, manipulation, or impersonation of real people
• Generate content involving real, identifiable individuals without consent

07 User Content

7.1 Ownership

You retain ownership of content you create or upload ("User Content"). By submitting User Content, you grant SpillTV Studios a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, reproduce, modify, and display your User Content for the purpose of operating and improving the Services.

7.2 Conversations with Companions

Conversations with Companions:

• Are stored on our servers to maintain context and continuity
• May be reviewed for safety, abuse detection, and quality improvement
• May be used in anonymized, aggregated form to improve AI models
• Remain accessible to you while your account is active

7.3 Content Moderation

We reserve the right to review, remove, or restrict User Content that violates these Terms, without prior notice.

08 Intellectual Property

8.1 Our IP

The Services, including all software, text, graphics, logos, AI models, Companion designs, voices, and content (excluding User Content), are owned by SpillTV Studios or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of our IP
• Use our trademarks (including "Aura24") without written permission
• Reverse engineer our AI models or training data
• Remove copyright notices or attribution

8.2 Limited License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes, subject to these Terms.

8.3 Feedback

If you submit ideas, suggestions, or feedback ("Feedback"), you grant us an unrestricted, perpetual, royalty-free license to use the Feedback without compensation or attribution.

09 AI-Generated Content Disclaimer

9.1 Nature of AI Content

Aura24's Companions generate responses using artificial intelligence. AI-generated content:

• Is not factually verified and may contain errors, hallucinations, or biases
• Should not be relied upon for medical, legal, financial, psychological, or emergency advice
• May produce unexpected, offensive, or inappropriate responses despite our safeguards
• Does not represent the views of SpillTV Studios

9.2 No Real Relationship

• Companions are AI personas, not real individuals
• Interactions are simulated for entertainment purposes
• We do not encourage substituting AI companionship for human relationships or professional support

9.3 Mental Health

If you are experiencing emotional distress, mental health concerns, or thoughts of self-harm, please contact a qualified professional or emergency helpline immediately. Aura24 is not a substitute for therapy or crisis intervention.

10 Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of AI-generated content
• Uninterrupted or error-free operation

We do not warrant that:

• The Services will meet your requirements
• Companions will respond in expected ways
• Bugs or defects will be corrected
• The Services are free from viruses or harmful components

11 Limitation of Liability

To the maximum extent permitted by law:

• SpillTV Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim shall not exceed the greater of (a) the amount you paid us in the 6 months preceding the claim, or (b) INR 5,000 (five thousand Indian rupees)
• This limitation applies regardless of the legal theory (contract, tort, negligence, or otherwise)

Some jurisdictions do not allow certain limitations, so these may not apply to you.

12 Indemnification

You agree to indemnify, defend, and hold harmless SpillTV Studios, its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of third-party rights
• Your User Content

13 Termination

13.1 Termination by You

You may stop using the Services and delete your account at any time through the in-app Settings.

13.2 Termination by Us

We may suspend or terminate your account immediately, without notice, for:

• Violation of these Terms
• Suspected fraudulent activity
• Conduct harmful to other users or the Services
• Legal or regulatory requirements

13.3 Effect of Termination

Upon termination:

• Your access to the Services ends
• Unused coins are forfeited (no refunds)
• We may retain certain data as required by law
• Sections 7.1, 8, 10, 11, 12, 14, and 15 survive termination

14 Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of laws principles.

14.2 Jurisdiction

Subject to Section 14.3, courts in Mumbai, Maharashtra, India shall have exclusive jurisdiction over any disputes.

14.3 Arbitration

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be settled by arbitration under the Arbitration and Conciliation Act, 1996:

• Sole arbitrator appointed by mutual agreement (or by the courts of Mumbai if no agreement)
• Venue: Mumbai, Maharashtra, India
• Language: English
• Award is final and binding

15 General Provisions

15.1 Entire Agreement

These Terms, along with the Privacy Policy and any in-app notices, constitute the entire agreement between you and SpillTV Studios.

15.2 Modifications

We may modify these Terms at any time. Material changes will be notified via the app or email. Continued use after notification constitutes acceptance.

15.3 Severability

If any provision is found invalid, the remaining provisions remain in full effect.

15.4 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

15.5 Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.

15.6 Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, war, government action, internet outages, etc.).

15.7 Notices

Notices to you may be sent via email or in-app notification. Notices to us must be sent to home@spilltv.com.
